TERMS OF SERVICE
Teksphere International provides professional web design and development services for companies around the world. Teksphere International reserves the right to suspend or cancel a customer’s access to any or all services provided by Teksphere International when Teksphere International decides that the account has been inappropriately used or otherwise abused.
INTELLECTUAL PROPERTY AND COPYRIGHT
For all websites designed by us, Teksphere International has full ownership of the web applications designed and developed. Under no circumstance should you download, copy, distribute, modify, sell, resell or publish the web applications and materials including screenshots, source code, online or paper-based documentation and any of the code (HTML, CSS, and Javascript) generated by Teksphere International.
SERVER USE
For security reasons, Teksphere International does not give access to its servers to anyone.
Customers that choose to manage their servers through control desk dashboard must specify such at the commencement of contract and their websites produced accordingly. Request for server management and control will only take effect by a termination of website hosting contract.
Teksphere International does not allow any of the following content to be stored on its servers:
Illegal Material – This includes copyrighted works, commercial audio, video, or music files, and any material in violation of any Federal, State or Local regulation.
Adult Material – Includes all pornography, erotic images, or otherwise lewd or obscene content. The designation of “adult material” is left entirely to the discretion of Teksphere International.
HIGH RESOURCE USER POLICY
Resources are defined as bandwidth and/or processor utilization.
Teksphere International may implement the following policy to its sole discretion:
When a website is found to be monopolizing the resources available Teksphere International reserves the right to suspend that site immediately. This policy is only implemented in extreme circumstances and is intended to prevent the misuse of our servers. Customers may be offered an option whereby Teksphere International continues hosting the website for an additional fee.
HACKED/COMPROMISED WEBSITES
Teksphere International is not held responsible for any hacked/compromised websites whose administrations are managed by the customer. A site that has been compromised may be taken offline immediately until the website has been secured and cleaned of any hacks/viruses. It is the customer’s responsibility to make sure their website does not get hacked in the event you decide to manage these responsibilities. Similarly, it is the customer’s responsibility to make sure that any costs needed to make the website safe again will be chargeable to them.
DOMAIN NAMES POLICY
Terms and conditions apply for registering domain names. For more information, see with the Internet Corporation for Assigned Names and Numbers (“ICANN”). Teksphere International may register one or more domain names on its customers’ behalf providing that this has been agreed with the appropriate customer.
PAYMENT POLICIES
Payments to Teksphere International can be made in the currency of the customer’s country.
Teksphere International reserves the right to suspend its services until any outstanding debt is cleared. The customer is responsible for all money owed on the account from the time it was established to the time that the customer sends a written cancellation.
CANCELLATION AND REFUNDS
Teksphere International reserves the right to cancel the service at any time. In this event, customers will be entitled to a pro-rata refund based upon the remaining period of membership. If a customer contravenes Teksphere International’s terms of service a refund will not be issued in the event of a cancellation.
Customers may cancel their account at any time. Any incentives offered to customers when opening the account will also be canceled.
Fees charged on a prepay basis or free services are non-refundable. Once the initial trial period has expired customers are not entitled to receive a refund unless the service is canceled by Teksphere International. In addition, some accounts incur set-up fees, these charges are also non-refundable.
In the event of cancellation of hosting contract by the customer, the appropriate transfer fees must be forwarded to Teksphere International. A $1700.00 transfer fee must be forwarded to Teksphere International by the customer for each website design, and $1000.00 per software within the content management system. Additionally, all copyright fees covering the unique combination of the elements that constitute a complete design for your website must be paid fully by the client. This will be solely determined by Teksphere International. Teksphere International reserves the right to refuse any such request of transfer of any designs or content or intellectual property it has developed.
INDEMNIFICATION
Customer agrees that it shall defend, indemnify, save and hold Teksphere International harmless from any and all demands, liabilities, losses, costs, and claims that may arise or result from any service provided or performed or agreed to be performed or any product sold by Teksphere International, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless Teksphere International against liabilities arising out of; (1) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (2) copyright infringement.
DISCLAIMER
Teksphere International will not be responsible for any damages your business may suffer. Teksphere International makes no warranties of any kind, expressed or implied for services we provide. Teksphere International disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, hacked/compromised websites and any and all service interruptions caused by Teksphere International and its employees. Teksphere International reserves the right to revise its policies at any time.
Teksphere International will not be responsible for the information contained on its customer’s website. This includes all types of information: Images, videos, animations, sounds, text and other file provided by the customer. The customer is responsible for the veracity and legality of the information provided on their website.
The customer agrees not to use any of Teksphere International’s services or websites if the customer does not agree with any of these terms.
